Terms of Service.

These terms govern your use of the GEM Content Engine website, product, and any accompanying materials. Read them. They're written in plain English, and they cap your downside as well as ours.

1. Acceptance of these terms

By accessing thegeminfo.com or purchasing, downloading, or using GEM Content Engine (the "Product"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the site or the Product.

2. Definitions

• "Operator," "we," "us". The GEM Content Engine team operating thegeminfo.com.
• "Product". The single-file GEM Content Engine application (gem.html) and its accompanying documentation (User Manual, Sales Strategy, branding assets).
• "Site". The marketing website at thegeminfo.com and its subpaths.
• "You," "buyer". Any individual or entity purchasing a license to the Product.
• "Output". Content generated by you using the Product (scripts, prompts, captions, carousels, etc.).

3. License grant

Subject to your payment of the applicable price (Founder's Edition $9 / Builder $29 / Operator $79 / Studio $149, one-time, lifetime), we grant you a perpetual, worldwide, non-exclusive, non-transferable license to:

• Use the Product for personal and commercial content creation, including for your own clients and brands.
• Modify the Product's single HTML file for your own internal use.
• Receive lifetime updates within the v1.x major version of the Product.

The license covers you personally (or, for organizational purchases at the Studio tier, the named seats specified at checkout). Founder's Edition includes a commercial-use license. White-label / resale rights are reserved for future tiers and are not granted at any current tier.

4. Restrictions

You may not:

• Redistribute, resell, sublicense, or share the Product file itself with anyone outside your purchased seat count.
• Strip, alter, or remove the operator's branding from the Product without an active white-label license.
• Reverse-engineer the Product to clone it commercially.
• Use the Product or Site to harass, defame, infringe, or violate any third party's rights.
• Use the Product to generate content that is illegal in your jurisdiction, including but not limited to CSAM, targeted harassment, or content designed to commit fraud.

5. Your output, your ownership

You own everything you create with the Product. We claim no rights in your Output, your brand kit, your channel configurations, your scripts, or your generated assets. The Product runs in your browser; we do not see your Output.

6. Third-party AI providers

The Product talks to AI providers you choose: Ollama (locally), OpenAI, Anthropic, or OpenRouter. Each has its own terms and content policies. You are responsible for using those providers in accordance with their terms. We are not party to your agreement with them, and we do not warrant the Output of any model.

7. Payments, refunds, taxes

Payments are processed by Gumroad or Lemon Squeezy. By purchasing, you also agree to their respective terms. We offer a 14-day no-questions-asked refund on the Founder's Edition and Builder tiers, processed through the same checkout platform you used. Studio tier refunds are pro-rated. Taxes (VAT, GST, sales tax) are handled by the merchant of record (Gumroad or Lemon Squeezy) where applicable.

8. Updates and roadmap

"Lifetime updates" means every release of GEM within the v1.x major version, delivered to the email you used at checkout. We do not guarantee any specific feature on the roadmap. Features are best-effort, ordered partly by Founder's Edition vote. A future v2.0 (with daily auto-brief, approval workflow, direct publishing, performance loop) may be released as a separate paid upgrade. If so, Founder's Edition buyers will receive a substantial discount.

9. Acceptable use of the Site

You agree not to scrape, crawl, or harvest content from thegeminfo.com beyond reasonable use by standard web browsers and search engines. Bulk scraping by AhrefsBot, SemrushBot, MJ12bot, and DotBot is disallowed via robots.txt. Disrupting site availability (denial-of-service attempts, exploiting vulnerabilities, and so on) is prohibited and may be reported to law enforcement.

10. Warranty disclaimer

THE PRODUCT AND SITE ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY OF AI-GENERATED OUTPUT. WE DO NOT WARRANT THAT THE PRODUCT WILL BE ERROR-FREE OR UNINTERRUPTED, OR THAT ALL DEFECTS WILL BE CORRECTED.

11. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE OPERATOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS RELATED TO THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE PRODUCT IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR USD $100, WHICHEVER IS GREATER.

12. Indemnification

You agree to indemnify and hold harmless the operator from any claims, damages, or expenses arising from: (a) your use of the Product, (b) your Output and how it is published, (c) your breach of these Terms, or (d) your violation of any third party's rights or any applicable law.

13. Termination

These Terms remain in effect until terminated. We may revoke your license if you materially breach these Terms (for example, by reselling the Product file). On termination, you must stop using the Product, but provisions that by their nature should survive (license restrictions, IP, disclaimers, limitation of liability, governing law) shall survive.

14. Changes to these terms

We may update these Terms from time to time. Material changes will be announced via email to buyers and surfaced on the homepage. Continued use after the effective date constitutes acceptance.

15. Governing law & disputes

These Terms are governed by the laws of the operator's home jurisdiction, without regard to its conflict-of-law principles. Any dispute will first be addressed by good-faith negotiation. Unresolved disputes shall be resolved by binding arbitration on an individual basis (no class actions), seated in the operator's home jurisdiction, except that either party may seek injunctive relief in a court of competent jurisdiction for IP infringement.
